How to write a letter of intent in 3 steps
-
Choose the deal
Buying a business, leasing commercial space, or another deal; then who it is with and what it is about.
-
Fill in the main terms
The price or rent, the deposit, the date, what the proposal depends on, exclusivity and confidentiality. The letter is written for you.
-
Send it to be signed
Print it or send the PDF. The other side signs below if they agree, and you both move on to the final agreement.
What to put in a letter of intent
- Who the two sides are, and what the deal is about: the business, the space or the goods
- The price or the rent, any deposit, and when the money is paid
- The closing or start date
- What the deal depends on, such as a review of the records, financing or approvals
- Exclusivity: how long the other side will not deal with anyone else
- Confidentiality of the terms and of what you learn
- Which parts are binding and which are not, and when the letter expires
Binding or not binding?
Tips
- Keep it short: the main terms, not every detail. The final agreement does the rest.
- Write numbers in full and be clear about what the price includes.
- Give a short reply date so the offer does not stay open for months.
- For a lease, check the use you plan is allowed at the address before you sign.
- Keep a signed copy, and do not pay more than a refundable deposit until the final agreement is signed.

Frequently asked questions
Is this letter of intent generator free?
Yes. It is free to use, needs no account or sign-up, and never adds a watermark or a SnapPaperwork logo to your letter.
Is a letter of intent legally binding?
Usually not, except for the parts it says are binding, such as exclusivity and confidentiality. But it depends on the words and the law where you are, so the letter says plainly that it is not a binding agreement. Have a lawyer review it before you sign anything that binds.
What kinds of deal does it cover?
Buying a business, leasing commercial space, or another deal. Each writes the first sentence and the terms a little differently; you can rewrite any of it.
Can the other side sign it?
Yes. “Add lines for the other side to sign” puts an “Agreed and accepted” sentence with lines for their signature, printed name and title, and the date at the end.
Can I change the wording?
Yes. The letter is written from your answers, but you can rewrite any of it in the “The letter” box or on the page. Empty the box to have it written from the form again.
Is my information uploaded or stored on your servers?
No. Everything you type stays in your browser and is never sent to me. It is saved on your own device so it is there next time.
